“Internal Investigations: Perils, Pitfalls and Privilege issues in SEC and Audit Firm Communications”
Session Description:
Dealing with Government Regulators as a consequence of an internal investigation is a daunting possibility, but responding to an outside auditor’s requests can be equally challenging and costly. In response to accounting requirements, outside auditors continue to flex their muscles through their demands to companies to voluntarily disclose potentially confidential and privileged investigation information and materials to them. This panel will discuss the increasing challenges and risks for companies in demonstrating cooperation with third party requests and complying with various public reporting requirements, while attempting to maintain the privilege. The panelists represent each facet of an internal investigation (general counsel, outside counsel, forensic accountant, auditor and government perspective) and will provide insight on potential issues and remedies for companies to consider.
